A buyer of an Austrian apartment building acquires more than land and walls. The acquisition includes ongoing tenancies, actual income, management processes and risks that a spreadsheet can only summarise. The rent roll is therefore the beginning of the review, never its conclusion.

A dependable data room connects every material statement to evidence. Rent, term, indexation, deposits, arrears, service charges and use must be traceable through leases, amendments, payment history and building documents. Only that reconciliation shows which income assumptions are robust and which matters must enter the purchase agreement before signing.

The rent roll is a review index, not a guarantee

A rent roll summarises units, users, areas, rent and other key data. It is commonly exported from property management and reflects the manager's current working position. Legally, the spreadsheet does not prove a fixed term, lawful rent or complete side agreement.

Each line therefore needs a route to the original lease, amendments, handover records, deposit evidence and tenant ledger. The rent roll and lease agreements topic explains that evidence chain. Review MRG scope separately for every unit

Section 1 MRG requires examination of the specific premises and the applicable full, partial or excluded regime. Construction date, subsidies, a later attic conversion, the unit type and contractual purpose may place units in the same building under different rules. One column saying MRG yes or no is not enough.

The classification affects rent control, service charges, fixed terms and termination protection. Section 16 MRG is central to permitted main rent in full application, but it cannot be applied without unit features, size, location and contract history. The data room should therefore show the legal parameters, not only the amount currently paid.

Test fixed terms and indexation against signed documents

For fixed term residential leases, the end date column is not decisive on its own. The signed document, written extensions, actual commencement and section 29 MRG need to fit together. An incorrectly carried forward date can distort the income forecast just as much as an undocumented extension.

Indexation clauses also require document review. The index, starting value, threshold and past demands should be traceable. A rent roll shows what is charged, not whether every adjustment is supported by the clause and applicable law. Valuation should distinguish current cash income from legally dependable future adjustment.

Test deposits, arrears and service charges for plausibility

Deposits are reconciled for each tenancy with receipt, holding method and current balance. Section 16b MRG sets requirements for cash deposit investment and later repayment. A deposit that appears only as a figure in the spreadsheet is not a reliable handover balance.

Arrears need a period, amount, collection status and information on proceedings. Service charges require completed accounts, the current period status and evidence. Section 21 MRG limits recoverable items within its scope. The rent roll plausibility check helps identify these deviations before deeper review.

Read title, building file and actual use with the income data

Income can be assessed only if the leased use matches the building records. Land register, plans, building file, permits, official notices and actual use belong beside the rent roll. An ancillary area without clear allocation or a converted area without a traceable building record may affect both the contract and the income case.

Translate data room findings into contract consequences

Due diligence is useful only if each material finding leads to a decision. Missing documents may be delivered before signing, made a condition or secured by retention. Known deviations may be disclosed and excluded from a guarantee. An unresolved core risk may justify postponing a binding step.

A spreadsheet figure should not silently become an unlimited promise, while a general data room disclaimer should not undermine a specifically negotiated guarantee.
