Separate prepayments from current rent

A rent roll usually shows the recurring amount, not every prepayment. Review the lease, amendments, account evidence, correspondence and settlement records together. The contractual rent and the specific agreement must be read alongside section 15 MRG.

The effective-date settlement provides the wider framework. This article focuses on the separate question of a period already paid for.

Review agreements and evidence together

A prepayment may cover several months or a defined period. Without evidence it should not automatically be treated as the seller’s income. It must also be clear whether it relates to rent, service charges or another item.

The data room should connect the agreement, payment evidence and settlement to the same tenancy. This avoids double counting income or missing a repayment obligation.

Allocate the cut-off and price clearly

The contract should allocate prepayments, open balances and possible repayments at the cut-off date. A general reference to rents may be too vague when payments fall before or after the transfer.

Where allocation remains open, disclosure, further documents, a guarantee or price retention may be considered. The purchase-price retention is not automatic and must match the risk.
